Beneficial ownership reporting: who files and what is needed

The reporting-company test
The first question is whether an entity is a reporting company at all, and whether it fits one of the exemptions. Many operating businesses do fall in scope, and assuming you are exempt without checking the criteria is the common mistake.
Who is a beneficial owner
Broadly, an individual who exercises substantial control or owns or controls a meaningful stake. Identifying them correctly, and gathering the required identifying information, is where a clean internal process pays off, especially for entities with layered ownership.
